Art. 1 Scope of application

1.1 The General Conditions of Sale apply to all sales made by the Seller via the Site.

1.2 If the Site allows it, entering your tax code during the purchase process means that you are acting as a Consumer pursuant to Article 3, paragraph 1, letter a) of the Consumer Code (Legislative Decree no. 206 of 6 September 2005). Please note that a Consumer is a natural person acting for purposes outside of any entrepreneurial, commercial, professional, or artisanal activity they may carry out.

However, if you are given the option to enter your VAT number (your own or that of a legal entity), this implies a purchase as a "Professional," pursuant to Article 3, paragraph 1, letter c) of the Consumer Code. A Professional is a natural or legal person acting in the exercise of their entrepreneurial, commercial, artisanal, or professional activity, or their intermediary. The implications of purchasing as a Consumer or Professional will be explained later in this document.

1.3 The terms indicated are understood to be working days, excluding Saturdays, Sundays, and national holidays. The images and descriptions on the Site are intended to be purely indicative. Product colors may differ from actual colors due to the settings of the computer systems or devices used for viewing.

1.4 The General Conditions of Sale may be modified at any time. Any modifications and/or new conditions will be effective upon their publication on the Site. Users are therefore invited to regularly access the Site and consult the most up-to-date version of the General Conditions of Sale before making any purchase.

1.5 The applicable General Conditions of Sale are those in force on the date the purchase order is sent.

1.6 These General Conditions of Sale do not govern the sale of products and/or services by parties other than the Seller who may be present on the Site via links, banners, or other hypertext links. Before conducting business with such parties, you must verify their terms of sale. The Seller is not responsible for the provision of services and/or the sale of products by such parties. The Seller does not control and/or monitor the websites accessible via such links and is therefore not responsible for their content or for any errors and/or omissions and/or violations of law committed by them.

1.7 The user is required to carefully read these General Conditions of Sale, as well as all other information provided by the Seller on the Site, including during the purchase procedure.

1.8 Under no circumstances shall the Seller be liable to you or any third party for any indirect, incidental, special, or consequential damages. This includes, but is not limited to, any loss of income or other indirect damages arising from the use or inability to use the Site. The Seller makes no warranties or representations regarding: (i) the absence of viruses or programs that could damage data; (ii) the accuracy, completeness, and timeliness of the information contained on the Site.

1.9 Unless otherwise agreed with the Seller, orders cannot be placed via email on the Site. The Seller does not accept orders by telephone, unless otherwise agreed with the customer.

1.10 All elements of the Site are the property of the Seller or third parties. Unless specifically authorized in writing by the Seller, any reproduction, even partial, by any means, distribution, publication, transmission, modification, or sale of all or part of the Site's content is prohibited.

Art. 2 Purchases on the Site

2.1 To make a purchase on the Site, the user must follow the indicated procedure, entering the requested data completely and truthfully. The sales contract is considered concluded when the order reaches the Seller's server and is accepted by the Seller's system.

2.2 You undertake to inform the Seller immediately if you suspect or become aware of any improper use or disclosure of any information you have entered on the Site. 

2.3 You guarantee that the personal information you provide is complete and truthful and you undertake to indemnify and hold the Seller harmless from any damages, compensation obligations, and/or penalties arising from and/or in any way related to the violation of this undertaking. You undertake to inform the Seller immediately if you suspect or become aware of any improper use or disclosure of your Site login credentials.

2.4 The Seller reserves the right to refuse orders from users who have previously violated these General Conditions of Sale or any regulatory provision.

2.5 To place orders on the Site, you must read and accept these General Conditions of Sale by selecting the appropriate box on the purchase process pages. Failure to accept these General Conditions of Sale will make it impossible to make purchases on the Site.

2.6 The Site offers the option to purchase alcoholic products. The Seller reserves the right to carry out appropriate checks on the Site or during the purchase process and/or upon delivery to ensure that the buyer is over 18 years of age. In fact, under Italian law, the purchase of alcoholic products is prohibited to persons under 18 years of age. In the event of failure to demonstrate proof of age, refusal to present a valid document, or reasonable doubt as to the recipient's age, the Seller may refuse delivery of the alcoholic products.

2.7 On the Site and in communications with customers relating to the Site, the Seller reserves the right to operate under its own commercial name. Therefore, when the Seller's name or the first person plural ("We") is used on the Site and/or in communications with customers relating to the Site, the reference is to the Seller as well as the Site.

2.8 Food products are sold on the Site. Before purchasing any food products offered for sale on the Site, you are requested to inform the Seller if you suffer from any type of food allergy, intolerance, or intolerance. If you fail to notify the Seller, it is in no way responsible for any damages you may suffer from purchasing food products on the Site.

2.9 After purchasing, the user will receive an order confirmation email containing at least a summary of the products purchased, the price paid, the Seller's details, the payment method used, and the delivery method.

2.10 The colors of the Products on the Site are indicative and may depend on the resolution of the device used by the user. The Seller assumes no responsibility if the color of the Product is different from what the user expected. The user is invited to contact the Seller if they have any doubts about the color of one or more Products on the Site.

2.11 If the Site provides promotions, freebies, coupons, or discount codes, these will be governed by the specific conditions indicated on the Site or in the cart at the time of purchase.

Art. 3 Product Availability

3.1 The products offered on the Site may be available in limited quantities and subject to stock out even after the order has been placed, particularly in the event of high demand or simultaneous requests.

3.2 If one or more products ordered are not available, the Seller will promptly inform the customer and may, after notifying the customer:

  • propose an equivalent or similar replacement product;
  • remove the unavailable product from the order;
  • cancel the order in whole or in part and refund any amounts already received for unavailable products.

3.3 Any refunds due to product unavailability will be made using the same payment method used for the purchase, unless otherwise agreed, as quickly as possible, consistent with the payment system's processing times.

Art. 4 Prices

4.1 All prices indicated on the Site are expressed in Euros and include VAT, unless otherwise indicated.

4.2 Furthermore, the prices on the Site do not include the WEEE contribution as the Products sold are not subject to the relevant regulations.

4.3 The Seller reserves the right to change the price of the Products at any time, without notice, it being understood that the price charged to you will be the one indicated on the Site at the time the order is placed and that any variations (increases or decreases) subsequent to the transmission of the order will not be taken into account.

4.4 The Seller will deliver the Products only after receiving confirmation of payment authorization or crediting of the Total Amount Due. Ownership of the Products will be transferred to you upon delivery.

4.5 The purchase agreement is terminated upon non-payment of the Total Amount Due. Unless otherwise agreed in writing with you, the order will be cancelled.

4.6 If there is an error in the price of the Product listed on the Site, the Seller reserves the right to communicate the correct price to the customer even after the purchase order has been completed. In this scenario, the customer has the right to accept the new price or cancel the purchase contract. The Seller may also cancel the purchase contract for the Product in these cases. The Seller may also cancel the sale if there is an error in the availability of the Product. 

Art. 5 Payment methods

5.1 This article describes the payment methods available on the Site. The user may in any case contact the Seller for further information.

5.2 On the Site, you can purchase using payment cards. The charge will be made only after (i) the payment card details used for payment have been verified and (ii) the company issuing the payment card you use has authorized the charge. Pursuant to Directive 2015/2366/ (EU) on payment services in the internal market (PSD2), users are informed that they may be required to complete the purchase process by satisfying the authentication criteria required by the payment institution responsible for managing the online payment transaction. The authentication criteria refer to the user's identity and simultaneous knowledge of the authentication code transmitted by the payment institution (Strong Customer Authentication). Failure to complete the above-described process may make it impossible to complete your purchase on the Site. Confidential payment card information (card number, cardholder name, expiration date, security code) is encrypted and transmitted directly to the payment processor without passing through the Seller's servers. Therefore, the Seller never has access to or stores your payment card information used to pay for the Products, even if you choose to store such information on the Site. Accepted payment cards can be viewed in the Site footer and/or during the purchase process.

5.3 It is not possible to pay by bank transfer on the Site.

5.4 It is not possible to purchase on the Site by cash on delivery, unless otherwise agreed with the Seller.

5.5 On the Site, you can complete your purchase by entering discount codes, coupons, or vouchers. If the value of the discount code is less than the order amount, the remaining amount can be paid using the payment methods provided on the Site. Each discount code can only be used for a single purchase and cannot be combined with other discounts or ongoing promotions. Discount vouchers cannot be converted into cash under any circumstances.

5.6 Pursuant to Legislative Decree No. 26 of March 7, 2023, the prices published on the Site are not personalized based on automated decisions. Therefore, the prices displayed on the Site are not influenced by the consumer's previous behavior.

5.7 The Site only sells perishable food products as referred to in Article 2, paragraph 1, letter m) and Article 4, paragraph 5 bis, of Legislative Decree no. 198 of 8 November 2021. "Perishable food products" means food products that, by their nature or during their processing, could become unsuitable for sale within 30 days of harvesting, production, or processing. Therefore, the Site is not obliged to indicate, in the event of a price reduction, the lowest price applied to consumers in the 30 days prior to the application of the price reduction. For further information regarding price change policies, you are invited to contact the Seller at the contact details indicated in Article 1 of these General Conditions of Sale.

5.8 If, for any reason, the Seller needs to process any type of refund to you for the purchase of one or more Products, the Seller will process the refund using the same payment method used by you, unless otherwise agreed between you and the Seller. Any delays in refunds may depend on the bank, credit card type, or payment method used.

Art. 6 Delivery of Products

6.1 The products are delivered on site, at the Seller's premises and in the service areas covered by the Seller, as indicated on the Site at the time of the order.

6.2 The delivery obligation is fulfilled by the transfer to you of the material availability or in any case of control of the Product.

6.3 The customer is required to provide correct and sufficient information to allow delivery, such as table number, umbrella number, area, location or other useful information requested by the Site.

6.4 Product delivery time from order placement: approximately 1 hour, except for peak traffic or operational needs.

6.5 The Seller is not liable for delays or failures to deliver due to incorrect or incomplete data entered by the customer, the customer's absence at the indicated location, force majeure or circumstances that could not reasonably be foreseen.

6.6 If the Site provides for direct collection by the customer from a point indicated by the Seller, the customer must present himself at the place and at the times communicated with the order references.

6.7 Upon delivery or collection, the customer is required to check, as far as reasonably possible, that the order corresponds to what was purchased and to promptly report any anomalies.

Art. 7 Right of withdrawal

7.1 The user is invited to carefully review this article, which governs the right of withdrawal. The right of withdrawal is the Consumer's right to terminate the purchase contract without being obliged to provide a reason.

7.2 Pursuant to Article 59 of the Consumer Code, the right of withdrawal is excluded for food and beverage products sold on the Site that are liable to deteriorate or expire rapidly, as well as for any sealed goods that are not suitable for return for hygiene or health protection reasons, once opened after delivery.

7.3 Due to the nature of the products sold on the Site, the customer cannot exercise the right of withdrawal after the purchase has been concluded, except in cases expressly provided for by law.

7.4 The consumer's rights remain unaffected in the event of a non-compliant product, a product different from the one ordered, non-delivery attributable to the Seller or other cases provided for by applicable legislation.

Art. 8 Legal Guarantee of Conformity

8.1 The legal guarantee of conformity applies within the limits and according to the methods established by current legislation, insofar as it is compatible with the nature of the goods sold.

8.2 The customer who has the status of consumer is entitled to the remedies provided by law in the event of a lack of conformity, where applicable.

8.3 In the event of an incorrect order, a delivered product that does not correspond to the one purchased, or any other anomaly attributable to the Seller, the customer is invited to promptly contact customer service at the contact details indicated on the Site.

8.4 For purchases made by professionals, the provisions of the Civil Code regarding sales remain applicable, where compatible.

Art. 9 Manufacturer's Warranty

The Manufacturer's Warranty is an additional guarantee to the Legal Guarantee of Conformity possibly provided by the Seller on the Products. Except as may be indicated on the Site, the Products sold on the Site are not covered by the Manufacturer's Warranty. You may, in any case, assert your rights under the Legal Guarantee of Conformity governed by the previous article.

Art. 10 Applicable law and competent court; out-of-court settlement of disputes

10.1 Purchase contracts concluded through the Site are governed by the provisions of these General Conditions of Sale and, where not otherwise provided, by the Italian Consumer Code.

10.2 Please note that for Consumers, any disputes relating to the application, execution, and interpretation of this document will be subject to the jurisdiction of the court where the user resides or has elected domicile. For Professionals, any disputes relating to the application, execution, and interpretation of this document will be subject to the jurisdiction of the court where the Seller is based, as set forth in the Preamble.

10.3 The Seller informs the user who qualifies as a Consumer that, in the event that he has submitted a complaint directly to the Seller, following which it has not been possible to resolve the dispute thus arising, the Seller will provide information regarding the Alternative Dispute Resolution body or bodies for the extrajudicial resolution of disputes relating to obligations arising from a contract concluded on the basis of these General Conditions of Sale (ADR bodies), specifying whether or not he intends to avail himself of such bodies to resolve the dispute itself.

10.4 In any case, the Consumer user's right to bring any dispute arising from these General Conditions of Sale before the competent ordinary court remains unaffected, regardless of the outcome of the out-of-court dispute resolution procedure for consumer relations by resorting to the procedures set out in Part V, Title II-bis of the Consumer Code.

Users residing in a European Union member state other than Italy may also access, for any dispute relating to the application, execution, and interpretation of these General Conditions of Sale, the European procedure established for small claims disputes, pursuant to Council Regulation (EC) No. 861/2007 of 11 July 2007, provided that the value of the dispute does not exceed €5,000.00, excluding interest, fees, and expenses. Art. 11 Customer Service

11.1 For information, assistance or complaints, the customer can contact the Seller at the contact details indicated on the Site.

11.2 The Seller undertakes to respond to requests within a reasonable timeframe, compatible with the volume of requests received and the days the business is open.

Art. 12 Reviews

12.1 Pursuant to the provisions of Legislative Decree No. 26 of 7 March 2023, the Site informs you that no tool has been implemented on the Site that allows users to post reviews.

12.2 You are however invited to access this article on the occasion of future purchases to verify whether a tool has been implemented on the Site that allows users to publish their own reviews relating to purchasing experiences on the Site.

Art. 13 Final provisions

13.1 This document fully governs the relationship between the customer and the Seller with reference to purchases made on the Site, without prejudice to the mandatory rights provided by law.

13.2 The invalidity or ineffectiveness of one or more clauses will not result in the invalidity of the entire document, without prejudice to compliance with applicable legislation.

13.3 For anything not expressly provided for in these General Conditions of Sale, the provisions of the law in force shall apply.

Art. 14 Use of artificial intelligence systems

14.1 This Site does not use chatbot systems powered by artificial intelligence. This Site does not use search engines or recommendation or suggestion systems powered by artificial intelligence technologies. The Site does not use or integrate artificial intelligence services to generate videos, digital avatars, or automated audiovisual content. The Site does not use or integrate artificial intelligence systems for automated content analysis, text generation or optimization, personalization of the browsing experience, or support for the Site's operation.
